Terms of Service

By accessing or using Wellthra (wellthra.com), including creating an account, generating a meal plan, or using the AI chat, you agree to be bound by these Terms of Service in full. If you do not agree with any part of these Terms, you must immediately stop using the Service.

These Terms constitute a legally binding agreement between you and the operator of Wellthra (see Impressum for full operator details). These Terms are governed by the laws of the Federal Republic of Germany and applicable EU regulations.

Wellthra is an AI-powered nutrition platform that provides personalized meal plans, recipes, grocery lists, health tracking, nutritional guidance, and related features using Claude AI by Anthropic.

All AI-generated content — including meal plans, recipes, nutritional analyses, health recommendations, food-drug interaction warnings, and allergen information — is produced algorithmically without human medical review and may contain errors, inaccuracies, omissions, or outdated information. The Service is intended for general informational and convenience purposes only.

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Keep your password secure and confidential — you are responsible for all activity under your account
• Notify us immediately at support@wellthra.com of any unauthorized access
• Be at least 16 years old to create an account (in compliance with GDPR Art. 8)
• Not create multiple accounts or accounts on behalf of others without their consent
• Not share AI-generated content obtained through your account for commercial purposes

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent or abusive behavior.

• Subscriptions are billed on a recurring basis (monthly or annually) and renew automatically unless cancelled
• All payments are processed securely by Stripe, Inc. — Wellthra never stores, processes, or has access to your credit card or bank account details
• You may cancel at any time — access continues until the end of the current billing period
• EU consumers have a 14-day right of withdrawal (Widerrufsrecht) from the date of purchase, which expires once you begin using the digital service with your express consent
• Prices are displayed in Euros (€) and include applicable VAT (currently 19% German MwSt / Umsatzsteuer)
• For customers in other EU member states, VAT is charged at the rate applicable in your country of residence in accordance with EU VAT rules for digital services
• Prices may change with at least 30 days' written notice via email. Existing subscriptions are honored at the old price until the end of the current billing cycle
• Wellthra is not responsible for additional fees charged by your bank, payment provider, or currency conversion service

Cancel anytime from your account settings — one click, no hidden steps, no dark patterns. Upon cancellation:

• You retain full access until the end of your current billing period
• No further charges will be made after cancellation
• Your data is retained for 30 days after the end of your subscription, then permanently deleted
• You may request immediate data deletion at any time by emailing privacy@wellthra.com or using the data export/delete features in your profile settings
• Refunds are available within 7 days of purchase for any reason — contact support@wellthra.com
• For EU consumers: the statutory 14-day withdrawal right applies as described in Section 6

You agree not to:

• Use Wellthra for any unlawful purpose or in violation of any applicable law
• Attempt to access other users' accounts, data, or personal information
• Use automated scripts, bots, scrapers, or similar tools to access the Service
• Circumvent rate limits, authentication mechanisms, or access controls
• Resell, sublicense, or commercially redistribute AI-generated content without written permission
• Attempt to reverse-engineer, decompile, or extract our AI prompts, system architecture, or proprietary methods
• Submit deliberately false health information to generate harmful, dangerous, or misleading dietary advice
• Use the Service to generate content that promotes eating disorders, dangerous diets, or self-harm
• Interfere with the Service's operation or impose an unreasonable load on our infrastructure
• Use the Service in any manner that could damage, disable, or impair the Service

Violation of these rules may result in immediate account suspension or termination without refund, and we reserve the right to report illegal activity to the appropriate authorities.

Wellthra's brand name, logo, design, source code, and platform architecture are the intellectual property of the operator and protected under German copyright law (§ 7 UrhG) and applicable EU intellectual property regulations.

AI-generated meal plans, recipes, and nutritional analyses created specifically for you are licensed to you for personal, non-commercial use only. Bulk reproduction, systematic extraction, commercial resale, or redistribution of AI-generated content requires prior written permission from the operator.

Your privacy is governed by our Privacy Policy, which forms an integral part of these Terms. Health data you provide (including medical conditions, medications, allergies, and body measurements) is classified as special category data under GDPR Article 9 and is processed only with your explicit consent.

You can withdraw consent and request complete data deletion at any time. Your health data is transmitted to Anthropic (Claude AI) for the sole purpose of generating personalized nutrition recommendations. We strive to keep Wellthra available 24/7 but do not guarantee uninterrupted, timely, secure, or error-free access. The Service may be temporarily unavailable due to:

• Scheduled or emergency maintenance
• Third-party service outages (Anthropic, Vercel, MongoDB, Stripe)
• Cyberattacks or security incidents
• Force majeure events (see Section 13)
• Infrastructure scaling during traffic spikes

We are not liable for any loss, damage, or inconvenience caused by service unavailability. Material changes to paid features will be communicated at least 30 days in advance via email.

Your continued use of Wellthra constitutes your ongoing informed acceptance of these risks. This acceptance was additionally confirmed during the onboarding process via the mandatory health disclaimer acknowledgment (stored with timestamp).

Wellthra shall not be liable for any failure, delay, or interruption in performance resulting from causes beyond our reasonable control (höhere Gewalt), including but not limited to:

• Acts of God, natural disasters, extreme weather events, epidemics, or pandemics
• War, terrorism, civil unrest, sanctions, or government actions
• Failure or outage of third-party infrastructure providers (Vercel, MongoDB Atlas, Anthropic, Stripe, AWS, Cloudflare)
• Internet backbone outages, DNS failures, CDN disruptions, or BGP routing issues
• Cyberattacks including DDoS, ransomware, supply chain attacks, or zero-day exploits
• Changes in applicable law, regulations, or regulatory requirements that affect the Service
• AI model changes, deprecations, rate limit changes, or service interruptions by Anthropic
• Power outages, hardware failures, or natural disasters at data centers
• Labor disputes, strikes, or supply chain disruptions

During a force majeure event, our obligations under these Terms are suspended for the duration of the event. We will make commercially reasonable efforts to notify affected users and restore service as soon as practicable. No refunds, credits, or compensation are issued for service interruptions caused by force majeure events.

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Wellthra, its operator, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees and court costs) arising out of or related to:

• Your use or misuse of the Service, including reliance on AI-generated content
• Your violation of these Terms of Service
• Your violation of any applicable law, regulation, or third-party rights
• Your failure to independently verify AI-generated health information with a qualified professional before acting on it
• Health consequences resulting from your decision to follow AI-generated recommendations without medical consultation
• Any content, data, or information you submit to the Service (including health data, photos, and meal logs)
• Products or services purchased through affiliate links on the platform
• Any claim by a third party arising from your use of the Service or content generated for you

This indemnification obligation applies only to the extent permitted by applicable law and shall not apply to damages caused by Wellthra's intentional or grossly negligent conduct. For consumers within the meaning of § 13 BGB, this indemnification obligation applies only to the extent that the consumer is at fault.

Mandatory consumer warranty rights under EU Directive 2019/770 (Digital Content Directive), as implemented in German law (§§ 327 ff. BGB), and the statutory warranty rights under §§ 434 ff. BGB remain unaffected by this disclaimer.

Wellthra relies on third-party services to operate. We are not responsible for the availability, accuracy, security, pricing, or data practices of these services. Our platform contains affiliate links to external stores and services.

Affiliate links are clearly identified. Product recommendations are based on AI analysis of your nutritional profile, not commission rates. If a third-party service experiences an outage, data breach, price change, or discontinuation, Wellthra is not liable for any resulting interruption, financial loss, or damages.

You may delete your account at any time via your profile settings or by contacting support@wellthra.com. We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or pose a security risk to the Service or other users — with prior notice unless immediate action is required for security reasons.

Upon termination: Sections 3 (Health Disclaimer), 4 (AI Disclaimer), 9 (IP), 12 (Assumption of Risk), 14 (Liability Cap), 15 (Indemnification), 16 (No Warranty), and 19 (Governing Law) shall survive termination and continue to apply.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and conflict of law provisions.

For consumers within the meaning of § 13 BGB who are resident in the EU, mandatory consumer protection laws of your country of residence apply where they provide a higher level of protection (Art. 6 Abs. 2 Rom I-VO). You retain the right to bring proceedings in the courts of your country of habitual residence.

For merchants (Kaufleute), legal entities under public law, and special funds under public law, the exclusive place of jurisdiction for all disputes is the registered seat of the operator.

The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. Pursuant to § 36 VSBG, we are neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle).

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email at least 30 days before they take effect. The updated Terms will be posted on this page with a revised "Last updated" date.

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service and may cancel your subscription for a prorated refund of any prepaid amounts.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely achieves the economic purpose and intent of the invalid provision (salvatorische Klausel).

The failure of Wellthra to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
